EASEMENT AGREEMENT REGARDING STORMWATER IMPROVEMENTS THIS EASEMENT AGREEMENT REGARDING STORMWATER IMPROVEMENTS ("Agreement") is made and entered into as of the 1 lth day of July, 2017, by and between Alatus New Hope I LLC, a Minnesota limited liability company("Developer"), and the City of New Hope, a Minnesota municipal corporation("City"). WITNESSETH: WHEREAS,Developer is the fee owner of the real property located in the City of New Hope, County of Hennepin, State of Minnesota, 8400 Bass Lake Road,which is Torrens property legally described as: Lot 1, Block 1,Hemken Addition,Hennepin County,Minnesota; ("Development Property"). WHEREAS,the City is the fee owner of the real property located in the City of New Hope, County of Hennepin, State of Minnesota, 8130 Bass Lake Road,known as the New Hope Village Golf Course,which is Torrens property legally described on the attached Exhibit A and is adjacent to the easterly boundary of the Development Property("City Property"). The Development Property and the City Property may be referred to collectively herein as the "Properties"; WHEREAS, Shingle Creek Watershed Management Commission has reviewed and approved Developer's permanent plans for the operation and maintenance of stormwater runoff facilities on the Development Property, as required, and such provisions are set forth in this Agreement; V' EREAS,the parties intend for the Development Property to have access to and use of certain stormwater drainage and treatment facilities located on the City Property,in the form of a stormwater treatment and retention pond(the"Pond"),the Filter Strip Improvements(hereinafter defined),draintile storm outlets, and storm sewer lines connecting the Development Property to the City Property(the "City Stormwater Facilities"). Further,Developer is constructing certain stormwater drainage and treatment facilities located on the Development Property, including,but 1 i '11 L.. Si not limited to an underground stormwater filtration tank, stormwater drain inlets and pipes, sump catch basins and manholes, and storm sewer control structures (the"Developer Stormwater Facilities," and collectively with the City Stormwater Facilities,the"Stormwater Facilities"). The Stormwater Facilities are graphically depicted on Exhibit B and graphically depicted and described on Exhibit C; WHEREAS, the City Stormwater Facilities shall be constructed by Developer in and around the Pond on the City Property, including the installation of an iron-enhanced sand filter strip along the Western edge of the Pond, and all riprap, and draintile storm outlets around the entire Pond as graphically depicted and described on the attached Exhibits B and C(collectively referred to as the"Filter Strip Improvements"); WHEREAS,pursuant to the terms contained herein,Developer has agreed to construct all of the Stormwater Facilities,and to maintain all of the Developer Stormwater Facilities,the Filter Strip Improvements and the grass turf adjacent thereto; and the City has agreed tomaintain the Pond as described herein and the surface riprap area around the Pond's Eastern and Northern edges of the Pond but not the riprap along the Western edge of the Pond, the Filter Strip Improvements or grass turf adjacent thereto; and WHEREAS,the parties desire to enter into this Agreement for the purposes of,among other things, (i) setting forth Developer's initial construction obligations regarding the Stormwater Facilities; (ii) setting forth the ongoing maintenance obligations for the Stormwater Facilities; (iii) creating non-exclusive, appurtenant easements in favor of Developer,its successors and assigns,to construct and maintain the applicable Stormwater Facilities and to discharge stormwater into the City Stormwater Facilities located on the City Property; (iv)Developer's grant of an easement to the City to enable access to the Developer Stormwater Facilities in the event Developer fails to perform its maintenance obligations with regard to the Developer Stormwater Facilities as set forth herein; and(v)recognizing the City's right to perform maintenance of the City Stormwater Facilities in the event Developer fails to perform its maintenance obligations with regard to the City Stormwater Facilities. NOW, T HTREFORE, in consideration of mutual covenants of the parties set forth herein and other valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the parties agree as follows: 1. Construction of the Stormwater Facilities Located on City Property. Developer and its successors or assigns as fee owner of the Development Property requiring usage of the City Stormwater Facilities located on the City Property, shall be solely responsible for 100% of the costs (except as otherwise agreed in writing by the City and Developer) and for the actual construction of all portions of the City Stormwater Facilities located on the City Property as graphically depicted on the attached Exhibit B and as graphically depicted and described on the attached Exhibit C, as outlined below. The construction of such City Stormwater Facilities shall be materially consistent with the plans and specifications for the Stormwater Facilities dated May 1, 2017, and approved by the City on June 26, 2017, attached hereto as Exhibit C(the"Stormwater Facilities Plans"). 2 2. Maintenance of the Stormwater Facilities and Pond Located on City Property. Developer and its successors or assigns as fee owner of the Development Property requiring usage of the City Stormwater Facilities,shall be responsible for performing the actual maintenance of and shall be solely responsible for 100%of the costs associated with the maintenance of the City Stormwater Facilities, including the "City Stormwater Facilities Maintenance" as defined below, as well as the actual maintenance and cost of maintaining the grass turf located on the City Property to the west of the Pond. Developer and its successors or assigns shall be responsible for 11%of the costs associated with"Major Pond Maintenance" as defined below. The City shall be responsible for performing the actual Major Pond Maintenance and shall be responsible for the remaining 89% of the costs of Major Pond Maintenance. The City shall be responsible for performing the actual Minor Pond Maintenance and for 100%of the costs of"Minor Pond Maintenance" as defined below. Notwithstanding the other terms contained herein and for the purposes of avoiding confusion,Developer and its successors or assigns shall be responsible for 100%of all construction and maintenance costs associated with the City Stormwater Facilities, including the costs of City Stormwater Facilities Maintenance,together with maintenance of the adjacent grass turf and the Developer's share of Major Pond Maintenance costs set forth above. The City shall perform Minor Pond Maintenance at least twice per year. The City shall be responsible for the maintenance, as and when the City deems appropriate in its sole discretion, of any stormwater facilities on the City Property not constructed by Developer in accordance with this Agreement. a. Major Pond Maintenance shall include the following: Dredging of the Pond as necessary and replacement of any structures associated with the Pond as necessary, other than Filter Strip Improvements. b. Minor Pond Maintenance shall include the following: i. Remove litter, debris, and accumulated sediment from the Pond. ii. Maintain the integrity and viability of the Pond including all native perennial vegetation, in a way which does not compromise the effectiveness of the Stormwater Facilities' design. iii. Control weeds and noxious species in and around the Pond. This can be done with spot spraying,weeding, or selective cutting. iv. Maintain tie integrity of r prap around-the Pond,, otherthan that-which is adjacent to Filter Strip Improvements on the Western edge of the Pond. v. Notwithstanding the foregoing,Minor Pond Maintenance shall not include maintenance of the Filter Strip Improvements. c. City Stormwater Facilities Maintenance shall include the following: i. Remove litter, debris, and accumulated sediment from the City Stormwater Facilities, including inlet, outlet, and/or pretreatment structures. ii. Maintain the integrity and viability of the City Stormwater Facilities, including all native perennial vegetation, in a way which does not compromise the effectiveness of the Stormwater Facilities' design. 3 iii. Control weeds and noxious species located in and around the City Stormwater Facilities. This can be done with spot spraying,weeding, or selective cutting. iv. Maintain the integrity of Pond bank riprap adjacent to Filter Strip Improvements. d. Developer's Maintenance Rights. The City acknowledges and agrees that Developer may perform Major Pond Maintenance and Minor Pond Maintenance, , as provided in this paragraph, if the Developer reasonably believes that the City or its successors or assigns have failed to maintain the Pond in accordance with this Agreement and such failure is reasonably expected to effect the Stormwater Facilities and such failure shall continue for thirty(30) days after Developer shall give the City written notice of such failure.Developer's notice shall specifically state which maintenance tasks are to be performed. If the City shall not complete the maintenance tasks within thirty(30) days after such notice is given by Developer,Developer shall have the right to enter upon the City Property to perform such maintenance tasks; provided,however,that if such tasks cannot be completed, despite reasonable diligence, in such thirty(30) days, and if the City is reasonable and diligent in commencing and pursuing completion of such tasks,the City shall be allowed such additional time as may be reasonably necessary to complete such tasks before Developer performs such tasks in its stead. Additionally,Developer shall give the City at least seventy (72)hours' written notice before exercising its right under this Section to enter upon the City Property and perform any maintenance tasks. In such case, Developer shall send an invoice of its reasonable maintenance or removal costs to City or its successors or assigns, who shall pay said costs within thirty(30) days of receipt of said invoice. Notwithstanding the foregoing, in the event of an emergency, as determined by Developer in its reasonable discretion,the thirty(30) day notice requirement to the City for failure to perform maintenance tasks shall be and hereby is waived in its entirety by the City, and the City shall reimburse Developer for any expense so incurred by Developer in the same manner as if written notice as described above had been given. Periodic Developer inspections may be conducted by a Developer representative at no cost to the City. e. City's Maintenance Rights. Developer acknowledges and agrees the City may maintain the City Stormwater Facilities, as provided in this paragraph, if the City reasonably believes that Developer or its successors or assigns have failed to maintain the City Stormwater Facilities in accordance with this Agreement or applicable Drainage Laws and/or BMPs, and such failure shall continue for thirty(30) days after the City shall give Developer written notice of such failure. The City's notice shall specifically state which maintenance tasks are to be performed. Developer agrees the City may levy and collect its maintenance costs as a special assessment against the Development Property's real estate taxes in the event the City fails to receive payment of the maintenance costs in accordance with this paragraph. 3. Construction and Maintenance of the Stormwater Facilities Located on the Development Property.Developer and its successors or assigns as fee owner of the Development Property shall be responsible for constructing, maintaining, operating, and repairing all portions of the Developer Stormwater Facilities.The construction of such Developer Stormwater Facilities shall be consistent with the Stormwater Facilities Plans attached hereto as Exhibit C in all material respects. a. Schedule of Maintenance: Developer, at Developer's sole cost and expense, shall inspect and maintain the Developer Stormwater Facilities, including all inlet, outlet, and/or control structures,twice a year. Inspections and maintenance shall be completed in the spring and fall. Developer's representative shall make all such scheduled inspections, keep record of all inspections and maintenance activities, and submit such records to the City within two (2)weeks of each such inspection. The cost of all inspections and maintenance shall-be the obrg—ta.ion of Developer and-its successors or assigns as the fee owner of the Development Property. b. City's Maintenance Rights. Developer acknowledges and agrees the City may maintain the Developer Stormwater Facilities, as provided in this paragraph, if the City reasonably believes that Developer or its successors or assigns have failed to maintain the Developer Stormwater Facilities in accordance with this Agreement or applicable Drainage Laws and/or BMPs, and such failure shall continue for thirty(30) days after the City shall give Developer written notice of such failure. The City's notice shall specifically state which maintenance tasks are to be performed. Developer agrees the City may levy and collect its maintenance costs as a special assessment against the Development Property's real estate taxes in the event the City fails to receive payment of the maintenance costs in accordance with this paragraph. Developer further agrees the maintenance costs incurred by the City per this paragraph result from the City's elimination of a public health or safety hazard from private property per Minn. Stat. §429.101. 4. Compliance with Maintenance Standards. Developer and the City,their successors or assigns, shall be responsible for observing all relevant laws governing the operation and maintenance of Stormwater Facilities ("Drainage Laws") in the performance of their respective maintenance obligations hereunder. Developer shall, with regard to the Developer Stormwater Facilities and Filter Strip Improvements, make all such scheduled inspections, keep records of all inspections and maintenance activities, and submit such records annually to the City. The cost of all inspections and maintenance of all Developer Stormwater Facilities and Filter Strip Improvements shall`6e tthe obligation of-Developer and its successors or assigns. Further,Developer and/or its successors or assigns, shall meet all of the requirements of the City's MS4 permit(Part 3.D.5.a.(5).(a)-(c))relating to the Developer Stormwater Facilities and Filter Strip Improvements and comply with all BMPs, and observe all applicable Drainage Laws,provided, however,that notwithstanding the terms contained herein,this Agreement shall not be deemed to require Developer to construct additional storm basins or to renovate or remodel the Stormwater Facilities to change the capacity or other specifications approved by the City in issuing the MS4 _permit other than the work depicted on Exhibits B and C attached hereto and described in the Stormwater Facilities Plans. The City shall,with regard to the City Stormwater Facilities other than the Filter Strip Improvements, make all such scheduled inspections,keep records of all inspections and maintenance activities, and 6 submit such records annually to Developer. The cost of all inspections and maintenance of all City Stormwater Facilities other than Filter Strip Improvements shall be the obligation of the City and its successors or assigns. Further,the City and/or its successors or assigns shall meet all of the requirements of the City's MS4 permit(Part 3.D.5.a.(5).(a)-(c))relating to the City Stormwater Facilities other than the Filter Strip Improvements and comply with all BMPs, and observe all applicable Drainage Laws,provided, however,that notwithstanding the terms contained herein, this Agreement shall not be deemed to require the City to construct additional storm basins or to renovate or remodel the Stormwater Facilities to change the capacity or other specifications approved by the City in issuing the MS4 permit. Stormwater Facilities shall not be used to stockpile snow, or for snow catchment areas from parking lots because of sediment accumulation. 5. Certificate of Completion. Promptly after completion of construction of the Stormwater Facilities in accordance with the Stormwater Facilities Plans, and upon request by the Developer, the City will furnish the Developer with a Certificate of Completion for the Stormwater Facilities in a form acceptable for recording in the County Recorder's Office and the Office of the Registrar of Titles. The Certificate of Completion shall be substantially in the form attached hereto as Exhibit D and shall be furnished to the Developer within ten (10)business day after request by the Developer, and shall conclusively satisfy and terminate the agreements and covenants in this Agreement of the Developer, and its successors and assigns,to construct the Stormwater Facilities. The remaining provisions of this Agreement shall remain in full force and effect. If the City shall refuse or fail to provide a Certificate of Completion in accordance with the provisions of this Section,the City shall,within ten(10)business day after written request by the Developer for the Certificate of Completion,provide the Developer with a written statement, indicating in adequate detail in what respects the Developer has failed to complete construction of the Stormwater Facilities in accordance with the provisions of this Agreement and what measures or acts will be necessary, in the opinion of the City, for the Developer to take or perform in order to obtain the Certificate of Completion. 6. Grant of Easement to City. Developer does hereby grant,bargain and convey unto the City, its successors and assigns, forever, a permanent easement including full and —- — -- - free-right-and-authority-to-enter-upon-the Development-Proper y sub j ea-to-the- requirements el-to-the requirements and limitations set forth in Section 3(b),to reasonably access the DeveloperStormwater Facilities to maintain the Developer Stormwater Facilities constructed thereon, in the event Developer fails to do so ("City Easement") solely upon portions of the Development Property reasonably necessary to access the Developer Stormwater Facilities depicted on Exhibit C hereto (the"City Easement Area"),provided that the City shall use its commercially reasonable efforts to prevent interference with the use and enjoyment by the Developer, its tenants, employees, agents, successors and assigns, of the Developer Property and damage to any improvements thereon. The City Easement shall continue forever as a permanent Easement over,under and across the City Easement Area and the City shall have the right to make such use as is reasonably necessary and advisable in the maintenance of the Developer Stormwater Facilities. 7 7. Grant of Temporary Construction Easement to Developer Over City Property. City does hereby grant,bargain and convey unto the Developer, its successors and assigns, a temporary construction easement over the City Property appurtenant to the Development Property as reasonably necessary to construct the Stormwater Facilities, including the Filter Strip Improvements as described herein; such easement terminating upon the later of February 28, 2019 or the filing of record of a Certificate of Completion in accordance with Section 5. 8. Grant of Easement to Developer Regarding Construction and Maintenance and to Allow Stormwater Flow from Development Property to Enter City Property. The City hereby grants and conveys to Developer, its successors and assigns, a perpetual,non-exclusive easement appurtenant to the Development Property(the "Developer Easement"),to (i) construct,maintain,manage,repair, and replace the Stormwater Facilities as and when required or permitted by this Agreement, and (ii) allow discharge of stormwater runoff from the Development Property into the City Stormwater Facilities (the"Developer Easement Area"). The easement granted hereby shall include the rights of ingress and egress for the Developer, its contractors, officers, employees, agents, successors and assigns, over,upon and across the City Property to the extent necessary to allow the Developer to exercise its rights and perform its obligations pursuant to this Agreement. The City Easement and Developer Easement may be referred to collectively herein as the"Easements". The City Easement Area and Developer Easement Area may be referred to collectively herein as the"Easement Areas". 9. Obstructions. Except as expressly provided in this Agreement,neither the City nor the Developer,nor anyone acting on either party's behalf, shall construct, install, or place any barrier,curbing, fence or obstruction, including landscaping, on any portion of the Easement Areas so as to obstruct the use and enjoyment of the Easements as contemplated by this Agreement,provided, however, (i) structures may be set up from time to time as may be reasonably necessary to protect the public safety,to perform necessary maintenance and repairs, and/or to prevent the accrual of prescriptive rights, and (ii) improvements necessary for the transmission of utility services may be placed inside the Easement Areas to the extent such improvements ---------------- ----------- are necessary to provide utility services to the Development Property, and-GE) Developer may pave portions of the surface of the City Easement Area,provided that such pavement does not interfere with the installation of Stormwater Facilities and reasonable access thereto. After the completion of any access, inspection, reconstruction, maintenance, or repair conducted in an Easement Area,the party conducting such activity shall restore such Easement Area to the condition in which it was found prior to the commencement of such actions, save only for the necessary removal of brush,undergrowth and other obstructions. 10. Estoppel Certificates.Developer and the City shall, from time to time,within ten (10) days after written request from the other party, execute, acknowledge and deliver to the other, a certificate stating: (i)that the terms and provisions of this Agreement 8 are unmodified and are in full force and effect or, if modified, identifying the modification agreements; (ii)whether there is known to be any existing default hereunder by the other party to this Agreement and, if so, specifying the nature and extent thereof; (iii)whether the party executing such certificate is performing work for which that party expects reimbursement under the provisions hereof; (iv)the nature and extent of any setoffs, claims or defenses then being asserted or otherwise known by such party related to the obligations under the Agreement; (v)the nature and extent of any notice given or demand which has not been satisfied; and(vi) such other matters as may be reasonably requested. Each party shall deliver a written request for such estoppel certificate to the other party at least ten(10) days prior to the closing of any sale or refinancing of the Property. 11. Hold Harmless. Developer agrees to indemnify and hold harmless the City and its agents and employees against any and all claims, demands, losses, damages, and expenses (including reasonable attorney's fees) arising out of or resulting from Developer's or Developer's agents or employee's negligent or intentionally wrongful acts, or any violation of any safety law, regulation or code in the performance of this Agreement,without regard to any inspection or review made or not made by the City, its agents or employees or failure by the City, its agents or employees to take any other prudent precautions. In the event the City,upon the failure of Developer to comply with any conditions of this Agreement,performs said conditions pursuant to its authority in this Agreement,Developer shall indemnify and hold harmless the City, its agents, employees and representatives for Developer's own negligent acts in the performance of the Developer's required work under this Agreement. City agrees to indemnify and hold harmless the Developer and its agents and employees against any and all claims, demands, losses, damages, and expenses (including reasonable attorney's fees) arising out of or resulting from City's or City's agents or employee's negligent or intentionally wrongful acts, or any violation of any safety law, regulation or code in the performance of this Agreement. In the event the Developer, upon the failure of City to comply with any conditions of this Agreement,performs said conditions pursuant to its authority in this Agreement, City shall indemnify and hold harmless the Developer, its agents, employees and representatives for City's own negligent acts in the performance of the City's required work under this Agreement. 12. Costs of Enforcement. Developer agrees to reimburse the City for all costsincurre_ - by the City in the enforcement of this Agreement, or any portion thereof, including court costs and reasonable attorneys' fees. City agrees to reimburse the Developer for all costs incurred by the Developer in the enforcement of this Agreement, or any portion thereof, including court costs and reasonable attorneys' fees. 13. Notice.Any notice required or permitted hereunder shall be given by personal delivery upon an authorized representative of a party hereto; or if mailed in a sealed wrapper by United States registered or certified mail, return receipt requested, postage prepaid; or if transmitted by email copy followed by mailed notice; or if deposited cost paid with a nationally recognized,reputable overnight courier, properly addressed as follows: 9 To Developer: Chris Osmundson,Director of Development Alatus New Hope I LLC 800 Nicollet Mall#2850 Minneapolis, MN 55402 cbosmundson@alatusllc.com To City: Kirk McDonald, City Manager City of New Hope 4401 Xylon Avenue North New Hope, MN 55428 kmcdonald@ci.new-hope.mn.us Notices shall be deemed effective on the earlier of the date of receipt or the date of deposit,as aforesaid;provided, however,that if notice is given by deposit,the time for response to any notice by the other party shall commence to run one business day after any such deposit. Any party may change its address for the service of notice by giving notice of such change ten(10) days prior to the effective date of such change. 14. No Waiver of Governmental Immunity.Nothing contained herein shall be deemed a waiver by the City of any governmental immunity defenses, statutory or otherwise. Further, any and all claims brought by Developer, its successors or assigns, shall be subject to any governmental immunity defenses of the City and the maximum liability limits provided in Minnesota Statutes Chapter 466. 15. No Right in General Public. Nothing herein contained in this Agreement shall be deemed to be a gift or dedication of any portion of either the Development Property, the City Property or the Easement Areas to the general public, it being the intention of the City and Developer that this Agreement shall be strictly limited to and for the purposes herein expressed. 16. Covenants to Run with Land. The City and Developer hereby agree that the easements, restrictions and reservations set forth herein shall run with the property burdened and shall be binding on all parties having any right, title or interest in the same,their heirs, successors and assigns. 17. Waiver. Any waiver by any party of any default of the other party hereunder shall not affect or impair any right arising from any subsequent default. 18. Severability.
