AGREEMENT TO MAINTAIN UNDERGROUND STORM
WATER STORAGE SYSTEM and DETENTION EASEMENT and
STORM WATER POND EASEMENT
THIS AGREEMENT is made and entered into as of the/L day of ,2014,
by and between AutoZone Development Corporation, a Nevada corporation("Developer") and the
City of New Hope, a Minnesota municipal corporation("City"). •
WITNESSETH:
WHEREAS, the Developer owns certain real property located in the City of New Hope,
County of Hennepin,State of Minnesota,legally described as:
Lot 1,Block 1,Bass Lake Road Autozone, according to the duly recorded plat filed in the
office of the Hennepin County Recorder, (Abstract Property)
The Torrens portion being described as follows:
The East 16 feet of Lot 1,Block 1,Bass Lake Road Autozone, according to the duly
recorded plat filed in the office of the Hennepin County Registrar of Titles, (Torrens
Property—Certificate of Title No. 1382992)
WHEREAS,the Developer,as part of this Agreement shall convey to the City two separate
storm water pond and detention easements over, under across and through a portion of the
Property legally described as: (the Easements)
North Easement-Underground Storm Water Storage System and Detention Easement
A perpetual easement over,under and across that part of Lot 1,Block 1,BASS LAKE ROAD
AUTOZONE, a duly recorded plat,Hennepin County,Minnesota,described as follows:
Commencing at the northeast corner of said Lot 1, thence South 00 degrees 15 minutes 04
seconds West, plat bearing, along the east line of said Lot 1, a distance of 27.66 feet;thence
North 89 degrees 44 minutes 56 seconds West 47.62 feet to the point of beginning;thence North
90 degrees 00 minutes 00 seconds West 75.00 feet;thence North 00 degrees 00 minutes 00
seconds East 23.00 feet;thence North 90 degrees 00 minutes 00 seconds East 75.00 feet;thence
South 00 degrees 00 minutes 00 seconds East 23.00 feet to the point of beginning. (Exhibit A •

seconds East, plat bearing,along the east line of said Lot 1,a distance of 6.09 feet to the point of
beginning;thence North 89 degrees 57 minutes 17 seconds West 65.27 feet;thence
northwesterly,30.53 feet,along a tangential curve concave to the northeast having a radius of
30.00 feet and a central angle of 58 degrees 18 minutes 49 seconds;thence North 31 degrees 38
minutes 27 seconds West,tangent to said curve, 19.92 feet;thence northeasterly,25.47 feet along
a tangential curve concave to the southeast having a radius of 12.00 feet and a central angle of
121 degrees 37 minutes 38 seconds;thence North 89 degrees 59 minutes 11 seconds East,
tangent to said curve,49.52 feet;thence North 78 degrees 47 minutes 04 seconds East 23.03 feet;
thence southeasterly,23.61 feet, along a tangential curve concave to the southwest having a
radius of 17.00 feet and a central angle of 79 degrees 33 minutes 59 seconds, to the east line of
said Lot 1;thence South 00 degrees 15 minutes 04 seconds West,not tangent to said curve, along
the east line of said Lot 1, a distance of 43.65 feet to the point of beginning. (Exhibit B attached)
with said Easements being set forth more fully in those certain easement document(s) filed as
document number(s) T 0 f S/o dl 5_� and 1-05015-01 S`f „files of the Hennepin County
Recorder, and Registrar of Titles;and
WHEREAS, the Property is suitable with the Shingle Creek Watershed, and permanent
provisions for handling of storm runoff,including provisions for operation and maintenance of all
stormwater runoff facilities and detention ponds, as required, and such provisions are to be set
forth in this Agreement to be recorded in the real estate records;and
WHEREAS, the City has given approval to the Easements subject to compliance by the
Developer with certain conditions,including entering into this Easement Maintenance Agreement
with the City;
NOW,THEREFORE,in consideration of mutual covenants of the parties set forth herein
and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
the parties agree as follows:

1. Maintenance of the Underground Storm Water Storage System(North Easement)and
Pond(South Easement).The Developer and its successor or assigns as fee owner of the Property
shall be responsible for maintaining the Easements and observing all Drainage Laws governing the
operation and maintenance of the Underground Storm Water Storage System(North Easement) r=
and Pond(South Easement)contained within the Easements.The Developer shall provide the City
with a schedule acceptable to the City for inspection of the Easements and their outlet control
structures.The Developer shall make all such scheduled inspections,keep record of all inspections-
and maintenance activities, and submit such records annually to the City. The cost of all
inspections and maintenance within the Easements,including skimming and leaning of the pond,
shall be the obligation of the Developer and its successors or assigns as the fee owner of the
Property.Further,the Developer and its successors or assigns,shall meet all of the requirements of •
the City's MS4 permit (Part 3.D.5.a.(5).(a)-(c) relating to the Easements and comply with all
structural stormwater best management practices(BMP's)as determined by the City.
2. City's Maintenance Rights. The City may maintain the Easements and stormwater
structures contained therein,as provided in this paragraph,if the City reasonably believes that the
Developer or its successors or assigns have failed to maintain the Easements and stormwater
structures in accordance with applicable Drainage Laws and BMP's,and such failure shall continue
for thirty(30)days after the City shall give the Developer written notice of such failure.The City's
• notice shall specifically state which maintenance tasks are to be performed.If Developer shall not
complete the maintenance tasks within thirty (30) days after such notice is given by the City,the
City shall have the right to enter upon the Easement to perform such maintenance tasks.In such •
case, the City shall send an invoice of its reasonable maintenance costs to the Developer or its
successors or assigns, who shall pay said costs within thirty(30) days of receipt of said invoice.
Notwithstanding the foregoing,in the event of an emergency,as determined by the City Engineer,
the thirty(30)-day notice requirement to the Developer for failure to perform maintenance tasks
shall be and hereby is waived in its entirety by the Developer,and the Developer shall reimburse •
the City for any expense so incurred by the City in the same manner as if written notice as
described above has been given.
3. Hold Harmless. The Developer agrees to indemnify and hold harmless the City and its
agents and employees against any and all claims, demands, losses, damages, and expenses
(including reasonable attorneys' fees) arising out of or resulting from the Developer's or the
Developer's agents or employee's negligent or intentional acts,or any violation of any safety law,
regulation or code in the performance of this Agreement.
4. Costs of Enforcement. The Developer agrees to reimburse the City for all costs incurred
by the City in the enforcement of this Agreement,or any portion thereof,including court costs and
reasonable attorneys'fees.
5. Notice. All notices required under this Agreement shall either be personally delivered .•
or be sent by certified or registered mail and addressed as follows:

7. Effective Date. This Agreement shall be binding and effective as of the date hereof.
