The fund transfer resolution includes $115,000 for this project in the event that additional work is required or that unexpected costs are incurred. Policy/Past Practice The city develops a five-year capital improvement program (CIP) for capital equipment, facility improvements, and infrastructure projects. Each year the CIP is reviewed, updated, and extended for another five-year period. Background The Ice Arena elevator was installed in 1978 as part of a third floor remodeling project to make the community room and the rink level of the arena fully accessible. In 1996, the south arena was added but no alterations or upgrades were done to the elevator. In 2015, some work was completed to bring the elevator up to code on critical areas but other non -critical items were postponed to be a part of a modernization for 2018. In 2016, the power unit of the elevator began leaking oil. The oil was easily contained in the elevator room and did not pose a hazardous threat, so maintenance was switched to a monthly service to maintain the oil level so the elevator would be functional. Over the last couple of months it has become increasingly difficult to keep the elevator working properly for more than a couple of days at a time, due to the failing power unit and the outdated controllers. Currently, the elevator has been switched off until the repairs can be made. Staff received quotes from three companies for the modernization equipment. Three quotes were also received for the additional work that is needed for the project installation. Although the OTIS equipment quote is lower, it is proprietary equipment and the work by others must also be completed by OTIS, which is significantly higher than the Total Construction Solutions quote. Using non-proprietary equipment will also allow for greater flexibility for regular maintenance and future repairs. The project would be completed in July. Funding The cost to modernize the elevator by Metro Elevator, Inc. and Total Construction Solutions is $91,996. This project was included in the 2018 CIP, however due to the necessary repairs needed, the project was moved to 2017. The funding is available in the Arena Operating Fund. The amount budgeted for this modernization was originally $130,000. The city develops a five-year capital improvement program (CIP) for capital equipment, facility improvements, and infrastructure projects. Every two years the CIP is reviewed, updated, and extended two years for another five-year period. The elevator at the ice arena is currently not working properly at this time, so the power has been turned off for the safety of ice arena patrons and staff. The elevator was installed 39 years ago, in 1978, as part of a third floor remodeling project to make the community room and the rink level of the arena handicap accessible. In 1996, the south arena was added with no alterations or upgrades to the elevator. In 2015, the elevator was cited by the State Inspector for not being code compliant in several areas. The elevator was brought up to code on the critical violations, but we were given some leeway on some of the non -critical violations because we had the modernization in the budget. In 2016, the power unit of the elevator began leaking oil. The oil was easily contained in the elevator room and did not pose a hazardous threat. At that point we switched to a monthly service to maintain the oil level so the elevator could be functional. Early in 2017, it became increasingly difficult to keep the elevator working properly for more than a couple of days at a time because of the failing power unit and the outdated controllers. A working elevator is necessary to provide accessibility of public areas at the ice. The community room on the third floor hosts the dance program, along with public rentals, and needs to be accessible by elevator. The elevator is also necessary for physically handicapped people to access the lower or ice level. We do have a number of ice rentals by sled hockey teams (physically handicapped hockey players), and also have requests to allow handicapped people access to ice level for special events such as Skate with Santa. The elevator is also heavily used by staff for getting trash barrels, tables, chairs, and cleaning equipment like floor scrubbers, mop buckets, and other maintenance equipment from floor to floor. Pre -Lion Notice (a) Any person or company supplying labor or materials for this improvement to your property may file a lien against your property if that person or company is not paid for the contributions. (b) Under Minnesota law, you have the right to pay persons who supplied labor or materials for this improvement directly and deduct this amount from our contract price, or withhold the amounts due them from us until 120 days after completion of the improvement unless we give you a lien waiver signed by persons who supplied any labor or material for the improvement and who gave you timely notice. TCS shall also carry public liability insurance covering claims for personal injury, wrongful death, or property damage arising on or from the premises during the Work. Site Conditions TCS will conduct a reasonable inspection of the Project site, but will not conduct an investigation of subsurface conditions. TCS is relying on the Owners representative to investigate subsurface site conditions. If concealed or unknown site conditions (i.e. lead paint, pollution, asbestos, etc.) are encountered at the site that differ materially from those identified by the Owners Representative or from those ordinarily found to exist, TCS shall advise the Owners Representative of those conditions and the Agreement scope, time and price shall be subject to equitable adjustment. TCS shall not to liable for any damages or injuries related to undisclosed or inadequately disclosed subsurface site conditions or other concealed or unknown site conditions. TCS Warranty TCS warrants to Owners Representative that TCS will perform all of the work in accordance with the terms of the Agreement, and in good workmanlike manner. TCS further warrants that the materials supplied by TCS in the course of the work will be new and, will meet or exceed any specifications. With the exception of the foregoing, TCS makes no warranty and disclaims all implied warranties of merchantability and fitness for a particular purpose in connection with materials or components sold but not manufactured by TCS. For those materials or components, the manufacturers warranty, if any, shall apply, and your sole remedy regarding those materials or components (other than TCS install of the same) is to look solely to the manufacturer for the enforcement of the manufacturers warranty, if any. All corrections under the TCS warranty shall be made at the convenience of the Owners Representative during UCS's normal business hours. Commencement and Completion of Construction TCS agrees to commence the work as soon as a signed Agreement is received and a date has been agreed to between both parties, and shall continue to work with all reasonable diligence to final completion. TCS shall not be liable for disruptions, delays, etc., caused by fires, strikes, legal acts or public authorities, war, inclement weather, allocation of materials or material shortages, delays or defaults by public or private carriers, acts of Owners Representative or persons employed or hired by the Owners Representative if not caused by default of TCS under the Agreement, acts of God, acts of terrorism, or other causes beyond the control of TCS, if, in each instance, TCS gives Owners Representative reasonable written notice of the event causing delay. Work Performance TCS has final authority for placement or arrangement of materials and equipment not specifically explained in the plans and/or specifications. However, TCS agrees to obtain Owners Representative approval of any such placement or arrangement prior to completing the work. All of these maintenance and troubleshooting tools are to be of a nonproprietary design. These control systems must be available on the open market and available for purchase by any qualified elevator contractor. The idea is to promote competitive bidding for the service and maintenance throughout the service life of the proposed equipment. This will promote competitive bidding for the maintenance and service accounts for the life of the equipment. We do not agree under our warranty to bear the cost of repairs or replacements due to vandalism, abuse, misuse, neglect, normal wear and tear, modifications not performed by us, improper or insufficient maintenance by others, or any cause beyond our control. We shall conduct, at our own expense, the entire defense of any claim, suit or action alleging that, without further combination, the use by you of any equipment provided hereunder directly infringes any patent, but only on the conditions that (a) we receive prompt written notice of such claim, suit or action and full opportunity to assume the sole defense thereof, including settlement and appeals, and all information available to you for such defense; (b) said equipment is made according to a specification or design furnished by us; and (c) the claim, suit or action is brought against you. Provided all of the foregoing conditions have been met, we shall, at our own expense, either settle said claim, suit or action or shall pay all damages excluding consequential damages and costs awarded by the court therein and, if the use or resale of such equipment is finally enjoined, we shall at our option, (i) procure for you the right use of the equipment, (ii) replace the equipment with equivalent noninfringing equipment, (iii) modify the equipment so it becomes noninfringing but equivalent, or (iv) remove the equipment and refund the purchase price (if any) less a reasonable allowance for use, damage or obsolescence. The interval between such inspections shall not be longer than what may be required by the applicable governing safety code. By accepting delivery of parts incorporating software you agree that the transaction is not a sale of such software but merely a license to use such software solely for operating the unit(s) for which the part was provided, not to copy or let others copy such software for any purpose whatsoever, to keep such software in confidence as a trade secret, and not to transfer possession of such part to others except as a part of a transfer of ownership of the equipment in which such part is installed, provided that you inform us in writing about such ownership transfer and the transferee agrees in writing to abide by the above license terms prior to any such transfer. Our work shall not include the identification, detection, abatement, encapsulation or removal of asbestos, polychlorinated biphenyl (PCB), or products or materials containing asbestos, PCB's or other hazardous substances. In the event we encounter any such product or materials in the course of performing work, we shall have the right to discontinue our work and remove our employees from the project until you have taken the appropriate action to abate, encapsulate or remove such products or materials, and any hazards connected therewith, or until it is determined that no hazard exists (as the case may require). We shall receive an extension of time to complete the work hereunder and compensation for delays encountered as a result of such situation. In addition to the agreed price, you shall pay to us any future applicable tax imposed on us, our suppliers or you in connection with the performance of the work described. This quotation is subject to change or withdrawal by us prior to acceptance. We warrant to you that the work performed by us hereunder shall be free from defects, not inherent in the quality required or permitted, in material and workmanship for one (1) year from the date of substantial completion. Our duty and your remedy under this warranty are limited to our correcting any such defect you report to us within the warranty period by, at our opinion, repair or replacement, provided all payments due under the terms of this contract have been made in full. All parts used for repair or replacement under this warranty shall be good quality and furnished on an exchange basis. We do not agree under our warranty to bear the cost of repairs or replacements due to vandalism, abuse, misuse, neglect, normal wear and tear, modifications not performed by us, improper or insufficient maintenance by others, or any cause beyond our control. We shall conduct, at our own expense, the entire defense of any claim, suit or action alleging that, without further combination, the use by you of any equipment provided hereunder directly infringes any patent, but only on the conditions that (a) we receive prompt written notice of such claim, suit or action and full opportunity to assume the sole defense thereof, including settlement and appeals, and all information available to you for such defense; (b) said equipment is made according to a specification or design furnished by us; and (c) the claim, suitor action is brought against you. Provided all of the foregoing conditions have been met, we shall, at our own expense, either settle said claim, suit or action or shall pay all damages excluding consequential damages and costs awarded by the court therein and, if the use or resale of such equipment is finally enjoined, we shall at our option, (i) procure for you the right use of the equipment, (ii) replace the equipment with equivalent noninfringing equipment, (iii) modify the equipment so it becomes noninfringing but equivalent, or (iv) remove the equipment and refund the purchase price (if any) less a reasonable allowance for use, damage or obsolescence. The interval between such inspections shall not be longer than what may be required by the applicable governing safety code. By accepting delivery of parts incorporating software you agree that the transaction is not a sale of such software but merely a license to use such software solely for operating the unit(s) for which the part was provided, not to copy or let others copy such software for any purpose whatsoever, to keep such software in confidence as a trade secret, and not to transfer possession of such part to others except as a part of a transfer of ownership of the equipment in which such part is installed, provided that you inform us in writing about such ownership transfer and the transferee agrees in writing to abide by the above license terms prior to any such transfer. Our work shall not include the identification, detection, abatement, encapsulation or removal of asbestos, polychlorinated biphenyl (PCB), or products or materials containing asbestos, PCB's or other hazardous substances. In the event we encounter any such product.or materials in the course of performing work, we shall have the right to discontinue our work and remove our employees from the project until you have taken the appropriate action to abate, encapsulate or remove such products or materials, and any hazards connected therewith, or until it is determined that no hazard exists (as the case may require). We shall receive an extension of time to complete the work hereunder and compensation for delays encountered as a result of such situation.
